                  HELPHIRE GROUP PLC ("Helphire" or the "Group")

                           Application for Block Listing


Application has been made to the UK Listing Authority for the block listing of
2,890,000 Helphire ordinary shares of 5p each fully paid ("Ordinary Shares") to
be admitted to the Official List of the UK Listing Authority and to trading on
the London Stock Exchange upon issue. These shares may be allotted pursuant to
the exercise of options under the following schemes:-


Unapproved Executive Share Option Scheme                 110,000


The 2002 Executive Share Option Scheme Part 1            380,000


The 2002 Executive Share Option Scheme Part 2          2,400,000


Total                                                  2,890,000


The shares shall rank pari passu with the existing issued Ordinary Shares.
